Roost End User Licence Agreement (EULA)

Applies to: The Roost mobile application, including RoostInspect and future RoostCare mobile features.

Agreement. By downloading, installing, accessing, or using the App, you agree to this EULA, the Terms of Service, and the Privacy Policy. You also consent to receive electronic communications through the App and other supported electronic channels, subject to applicable law and your settings.

1. Licence grant

Subject to your compliance with this EULA and the Terms of Service, Roost grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use the App on compatible devices you own or control, solely for your internal and personal or authorised business use in connection with the Roost services.

2. Ownership

The App is licensed, not sold. Roost and its licensors retain all rights, title, and interest in and to the App, including software, code, user interface, designs, content, and related intellectual property, except for rights you retain in your own User Content.

3. Permitted users and devices

You must be at least 18 years old to create an account and use the App. You may use the App only on devices you own or control, subject to the usage rules of the relevant app store or platform provider. If your organisation provides the device or account, you must also comply with that organisation's policies and authorisations.

5. Updates and changes

The App may download or require patches, bug fixes, updates, upgrades, or new versions. Some features may stop working properly if you do not install updates. Roost may change or remove functionality as the product evolves.

6. Connectivity and third-party services

The App may require internet access and may interoperate with third-party services, including cloud hosting, analytics, push notifications, authentication providers, mapping, and app-store services. Network charges, data usage charges, and device charges remain your responsibility.

7. Permissions

The App may request access to device capabilities such as camera, photos, files, microphone, notifications, location, or biometrics depending on which features you use. Granting some permissions may be optional, but declining them may limit certain inspection, evidence capture, notification, or maintenance functions.

7A. Electronic communications

The App may be used to deliver electronic communications such as agreements, disclosures, reminders, notices, inspection prompts, signatures and acknowledgement requests, maintenance updates, billing messages, security alerts, and support communications. By using the App, you consent to receiving those communications electronically through in-app messages, push notifications, email, SMS, or similar channels supported by Roost, to the extent permitted by law.

If you are an owner, landlord, lessor, or other authorised sender using the App to send reminders, notices, statutory forms, or similar communications to tenants or other recipients, you are responsible for ensuring that you are authorised to do so and that any required recipient consent or legal conditions for electronic delivery have been satisfied. If certain communications cannot lawfully be sent electronically in your circumstances, you must use another valid method outside the App.

8. User Content

The App may allow you to create, upload, store, and share User Content. Your rights and responsibilities regarding that content are governed by the Terms of Service and Privacy Policy. You remain responsible for reviewing, verifying, and lawfully sharing your content.

9. AI-assisted features

The App may include AI-assisted or automated features that help generate, sort, summarise, categorise, or compare information. These features may involve your content being processed by third-party AI providers. Those outputs are support tools only and may be incomplete or inaccurate. You must review outputs before relying on them.

10. Suspension and termination

This EULA remains in effect until terminated. It terminates automatically if you fail to comply with it or with the Terms of Service. Roost may also suspend or terminate access for security, legal, operational, or misuse reasons. On termination, you must stop using the App and delete all copies in your possession or control.

11. App store terms

If you obtained the App through Apple App Store, Google Play, or another authorised marketplace, that marketplace may have rights as a third-party beneficiary of this EULA to the extent required by its rules. Roost, not the marketplace, is responsible for the App and for addressing claims relating to it, subject to applicable law and this EULA.

12. Export, sanctions, and lawful use

You must comply with all applicable export, sanctions, and trade control laws in connection with the App. You must not use the App in a way that breaches law, infringes another person's rights, or compromises the safety, privacy, or integrity of any person or property.

13. Warranty disclaimer and liability

Nothing in this EULA excludes rights you may have under the Australian Consumer Law or other non-excludable law. Subject to those rights, the App is provided on an "as is" and "as available" basis without warranties except as expressly stated.

To the maximum extent permitted by law, Roost excludes liability for indirect, incidental, special, or consequential loss. Any liability not lawfully excluded is limited as stated in the Terms of Service.

14. Governing law

This EULA is governed by the laws of New South Wales, Australia. Courts in New South Wales have non-exclusive jurisdiction, subject to rights you may have under mandatory law.
